1. Applicability

These General Terms and Conditions apply to all offers, quotations, agreements, deliveries, and services provided by Skyline Technologies B.V.

By engaging with Skyline Technologies B.V., the client agrees to these terms.

2. Quotations and Agreements

All quotations are non-binding unless explicitly stated otherwise in writing.

An agreement is only concluded after written confirmation by Skyline Technologies B.V.

3. Products and Industrial Use

All products supplied by Skyline Technologies B.V., including but not limited to:

• Zok27
• ZokMX
• Zok GS / MX GS (including offshore applications)
• Zok27 GS RTU / MX GS RTU systems
• Gas turbine compressor cleaning fluids
• Filtration systems

are intended strictly for professional and industrial use.

The client is responsible for:

• correct application
• compliance with technical specifications
• use by qualified personnel
  

4. Technical Information and Specifications

All technical data, specifications, and performance information provided:

• are indicative only
• may be subject to change without prior notice
• do not constitute a guarantee

The client remains responsible for verifying suitability for the intended application.

5. Delivery and Lead Times

Delivery times are estimates and not legally binding deadlines.

Skyline Technologies B.V. shall not be liable for delays caused by:

• production issues
• supply chain disruptions
• force majeure
  

6. Liability Limitation

Skyline Technologies B.V. shall only be liable for direct damages resulting from proven negligence.

Liability is strictly limited to:
the value of the relevant invoice.

Skyline Technologies B.V. shall not be liable for:

• indirect damages
• consequential damages
• loss of production
• loss of profit
• downtime
• damage to turbines, compressors, or industrial systems
  

7. Industrial and Offshore Risk

The client acknowledges that products may be used in:

• high-risk industrial environments
• offshore installations
• energy and mechanical systems

All risks associated with such use remain the responsibility of the client.

8. Use of Cleaning Products

Gas turbine compressor cleaning products must be used:

• strictly according to instructions
• within specified conditions

Skyline Technologies B.V. is not liable for damage resulting from:

• incorrect dilution
• improper application
• use outside recommended parameters

9. Payment Terms

Invoices must be paid within 14 days unless otherwise agreed in writing.

Late payments may result in:

• suspension of deliveries
• additional costs
  

10. Force Majeure

Skyline Technologies B.V. shall not be held liable for failure or delay in performance due to force majeure, including but not limited to:

• natural disasters
• strikes
• supply chain disruptions
• governmental restrictions
  

11. Intellectual Property

All materials, including but not limited to:

• technical documentation
• product descriptions
• designs

remain the property of Skyline Technologies B.V.

Reproduction or distribution without written consent is prohibited.

12. Governing Law

All agreements and disputes shall be governed exclusively by Dutch law.

13. Amendments

Skyline Technologies B.V. reserves the right to amend these Terms and Conditions at any time.
